1. Acceptance of Terms

By accessing or using the website and services provided by Dons Media LLC ("Dons Media," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our website or services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the website or services after any modifications indicates your acceptance of the updated Terms.

2. Description of Services

Dons Media is an app studio that provides mobile app development, AI-powered software solutions, product design (UI/UX), growth and experimentation services, and related digital services. The specific scope, deliverables, timelines, and fees for any engagement will be outlined in a separate agreement or statement of work between Dons Media and the client.

3. Use of the Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any way that violates any applicable federal, state, local, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website
• Attempt to gain unauthorized access to any portion of the website, other accounts, computer systems, or networks connected to the website
• Use any robot, spider, scraper, or other automated means to access the website for any purpose without our express written permission
• Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful

4. Intellectual Property Rights

The website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Dons Media, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without our prior written consent, except as may be permitted by applicable law.

5. Client Work and Ownership

Unless otherwise specified in a separate written agreement, upon full payment of all fees, the client will own the final deliverables created specifically for the client as part of an engagement. Dons Media retains ownership of all pre-existing intellectual property, tools, frameworks, libraries, and methodologies used in the creation of deliverables. Dons Media reserves the right to use general knowledge, skills, and experience gained during any engagement for future projects.

6. Payment Terms

Payment terms, including fees, payment schedules, and accepted payment methods, will be outlined in the applicable statement of work or engagement agreement. Unless otherwise agreed upon in writing, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Dons Media reserves the right to suspend or terminate services for overdue accounts.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation of confidentiality does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction. The confidentiality obligations will survive the termination of any engagement for a period of two (2) years.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Dons Media, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the website or services; (ii) any conduct or content of any third party on the website; (iii) any content obtained from the website; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Indemnification

You agree to defend, indemnify, and hold harmless Dons Media and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the website or services.

10. Termination

We may terminate or suspend your access to the website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the website will immediately cease. For client engagements, termination terms will be governed by the applicable statement of work or engagement agreement.

11. Disclaimer of Warranties

The website and services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Neither Dons Media nor any person associated with Dons Media makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the website or services. Without limiting the foregoing, neither Dons Media nor anyone associated with Dons Media represents or warrants that the website or services will be accurate, reliable, error‑free, or uninterrupted, that defects will be corrected, that our website or the server that makes it available are free of viruses or other harmful components, or that the website or services will otherwise meet your needs or expectations.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Entire Agreement

These Terms, together with any applicable statement of work or engagement agreement, constitute the sole and entire agreement between you and Dons Media regarding the website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the website and services.
